01 About these terms
These Terms of Service ("Terms") are a legal agreement between you ("you", "the client") and AGSH, the entity that operates the brand "Setu" ("we", "us", "Setu"). They govern your use of our website (makemysetu.com), our services, and any deliverables we create for you.
By signing up for a Setu plan, submitting our demo form, or using our website, you agree to be bound by these Terms. If you don't agree, please don't use the service.
These Terms are governed by the laws of India, including the Information Technology Act 2000, the Consumer Protection Act 2019, and the Consumer Protection (E-Commerce) Rules 2020.
02 The services we provide
Setu is a digital marketing service for small and medium businesses. Depending on the plan you choose (Starter, Growth, or Premium), we deliver:
- Social media content — a monthly bundle of posts (a mix of videos, statics, and carousels) tailored to your business
- Ad management — running paid campaigns on Meta (Facebook & Instagram) within the ad budget included in your plan
- Strategy & consultation — light advisory on what to post, when to post, and how to grow your presence

What we don't provide
We don't currently provide: website development, SEO audits, email marketing campaigns, influencer marketing, performance marketing on Google Ads, or any service not explicitly listed in your chosen plan. If you need something custom, ask us — we'll quote it separately.
03 Your account
When you sign up, you'll provide us with information about your business — name, contact details, industry, brand assets, and creative direction. You agree to:
- Provide accurate and current information
- Keep your contact details (especially WhatsApp and email) updated
- Hold the legal authority to enter into this agreement on behalf of your business
- Ensure that any brand assets you share (logos, images, written content) are owned by you or properly licensed
You're responsible for what your business does with the deliverables we create. We deliver content; how you use it is on you.
04 Payment & billing
Plan fees
Plan fees are charged monthly in advance. The first payment is due before we begin work. Subsequent payments are due on the same date each month thereafter, until you cancel.
Ad budget
Each plan includes a designated monthly ad budget that we spend on your behalf on Meta (Facebook/Instagram). This ad budget is part of your total plan fee — not an additional charge. Unspent ad budget does not roll over to the next month and is not refundable in cash.
GST & taxes
All prices listed on our website are exclusive of GST and other applicable taxes. GST will be added to your invoice as per Indian tax law. You are responsible for any taxes specific to your jurisdiction.
Late payment
If we don't receive payment within 7 days of the due date, we reserve the right to pause active campaigns and content delivery until payment is received. We'll always reach out via WhatsApp/email before pausing — we don't ghost.
Promotional codes
Discount codes (like "SETU50") apply only to the specified billing period and cannot be combined with other offers unless explicitly stated. Promotional offers may be modified or withdrawn by us at any time, but only for new sign-ups — your existing pricing won't change retroactively.
05 Cancellation
You can cancel your Setu plan at any time, no questions asked, by sending us a message on WhatsApp or email. No notice period is required.
What happens when you cancel
- Cancellation takes effect at the end of your current billing month
- You'll continue receiving deliverables until the end of that paid month
- Any active ad campaigns will be wound down responsibly (we don't just turn them off mid-campaign — we let them complete or wind down to avoid wasting your spend)
- You will not be billed again

06 Content & ownership
What you own
You own the final delivered creative work — the videos, statics, carousels, and ad creatives we ship to you each month. Once delivered and paid for, the rights belong to your business. You can use them however you wish: post them, repurpose them, hand them to another agency later, archive them.
What we retain
We retain the right to use anonymized or branded samples of work created for you in:
- Our portfolio (website, case studies, social posts)
- Marketing materials and pitch decks
- Internal training and process documentation
If you'd prefer your work not appear in our portfolio, tell us in writing at signup or anytime later — we'll respect it.
What you provide us
Any brand assets (logos, photos, written copy, etc.) you share with us remain your property. By sharing them, you grant us a non-exclusive license to use them solely for the purpose of creating your deliverables.
Third-party content
We sometimes use stock images, royalty-free music, AI-generated visuals, and similar elements in your content. These are licensed for your use as part of the deliverable — but if you ever plan to use a piece outside its intended marketing context (e.g., on physical products, in TV commercials), tell us first so we can confirm licensing.
07 AI-generated content
Setu uses AI tools as part of our creative process. This is not a secret. Our service exists precisely because AI lets us deliver high-quality work at small-business prices.
What this means for you:
- A meaningful portion of your visual content (especially videos) is AI-generated, then refined and approved by our human team
- We disclose this openly — there's no pretending otherwise
- We do not use AI to fabricate testimonials, fake reviews, or any deceptive claims about your business
- AI tools may have their own terms of service; by using our service you agree we may process your inputs through them as needed
If you have specific concerns about AI use (e.g., your industry has regulations against it), let us know upfront and we'll figure out an alternative approach.
08 Acceptable use
You agree not to use Setu's services to:
- Promote illegal products or services
- Make false, deceptive, or misleading claims about your business or competitors
- Promote hate speech, discrimination, harassment, or violence
- Infringe on someone else's copyright, trademark, or other IP
- Violate Meta's advertising policies or any other platform's terms
- Impersonate another business or person
If we discover you're using our service for any of the above, we reserve the right to terminate the relationship immediately without refund, and to cooperate with authorities if required.
09 Liability & warranties
What we promise
We promise to deliver the content quantities and ad budget specified in your plan, with reasonable professional care. If we fail to deliver in a given month, we make it good in content — we add the shortfall to your next month's deliverables, or deliver the remaining content if you choose not to continue. What we don't promise
We do not guarantee:
- Specific business outcomes (sales, leads, follower growth) — these depend on too many factors outside our control
- That the content will perform a certain way on social platforms
- That ad campaigns will achieve a specific ROI or CPL
- That third-party platforms (Meta, Instagram, WhatsApp) will continue to function as expected
Liability cap
To the maximum extent permitted by Indian law, our total liability to you for any claim arising out of or relating to these Terms is limited to the amount you've paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
In plain English
If something goes wrong, we'll fix it or make it right — but we can't be on the hook for damages many times the cost of the service itself.
10 Changes to these terms
We may update these Terms occasionally — for legal compliance, business changes, or clarity. When we do:
- We'll update the "Last updated" date at the top of this page
- For material changes that affect your existing plan, we'll notify active clients via WhatsApp/email at least 14 days before the change takes effect
- If you don't agree with a material change, you can cancel before it takes effect — no penalty
Continuing to use the service after a change means you accept the updated Terms.
11 Disputes & jurisdiction
If we have a disagreement, we always prefer to resolve it directly — usually a WhatsApp message or a quick call sorts it out. Most disputes don't need lawyers.
If informal resolution doesn't work, these Terms are governed by the laws of India, and the courts in Surat, Gujarat shall have exclusive jurisdiction over any dispute arising from or relating to them. Both parties agree to attempt mediation in good faith before initiating formal legal action.
